Agreement to these terms
These Terms of Service ("Terms") govern your use of Wuilder's website, dashboards, client portal and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you use Wuilder on behalf of a business, you agree on its behalf and confirm you have authority to do so.
Your account
- You must give accurate information and keep your password secure.
- You are responsible for activity under your account, including your teammates' activity.
- You must be at least 16 years old and able to form a binding contract.
- Tell us promptly at legal@wuilder.app if you suspect unauthorised access.
Plans, trials and billing
- Paid plans are billed in advance, monthly or yearly, and renew automatically until cancelled.
- Free trials convert to a paid plan only if you choose one; we will not charge you without your confirmation.
- You can cancel at any time from Settings. Cancellation takes effect at the end of the current billing period; we do not give refunds for partial periods unless the law requires it.
- We may change prices with at least 30 days' notice. Changes apply from your next renewal.
- Prices exclude taxes unless stated.
Payments between you and your clients
Wuilder helps you request and track payments; it does not process them. Clients pay you through the payment links you provide, and you confirm when money arrives. Wuilder is not a party to your agreement with your client, is not responsible for collecting payment, and is not liable for disputes, chargebacks or unpaid invoices between you and your clients.
Agreements you send through Wuilder are documents between you and your client. Wuilder records signatures and timestamps but does not provide legal advice or guarantee that an agreement is enforceable in your jurisdiction.
Your content
You keep all rights to the content you and your clients upload — designs, files, agreements, answers and comments ("Your Content"). You give Wuilder a limited licence to host, copy, display and transmit Your Content only to provide and secure the Service.
You confirm that you have the rights to upload Your Content and to invite your clients and teammates, and that you will handle your clients' personal data lawfully. Where we process your clients' data, we do so on your instructions as described in our Privacy Policy.
Acceptable use
You agree not to:
- break the law or infringe anyone's rights, including intellectual-property and privacy rights;
- upload malware, or attempt to access accounts, projects or data that are not yours;
- probe, overload or disrupt the Service, or bypass its limits and security;
- use Wuilder to send spam or misleading payment requests;
- resell or sublicense the Service without our written permission.
We may suspend or remove content or accounts that breach these rules. Where reasonable, we will tell you first and give you a chance to fix the issue.
Storage and availability
Each plan includes a storage limit. We work to keep Wuilder available and to back up data regularly, but the Service is provided without a guarantee of uninterrupted availability. Please keep your own copies of important source files.
Third-party services
Optional integrations such as Google Calendar and Google Drive are provided by third parties under their own terms. We are not responsible for those services.
Ending the agreement
You can close your account at any time. We may end or suspend your access if you materially breach these Terms or if required by law. After closure, you can request an export of Your Content for 30 days, after which it is deleted as described in our Privacy Policy.
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Wuilder will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
Indemnity
You agree to defend and indemnify Wuilder against claims arising from Your Content, your use of the Service in breach of these Terms, or disputes between you and your clients.
Changes to these terms
We may update these Terms. For material changes we will give account owners at least 30 days' notice by email. Continuing to use the Service after changes take effect means you accept them.
General
These Terms, together with our Privacy Policy, are the entire agreement between you and Wuilder about the Service. If any part is unenforceable, the rest remains in effect. Failing to enforce a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale of the business.
